General Members Meeting
8pm. Tuesday 6th August 2019
At the Annual General Members Meeting we witnessed another footnote in the history of our club.
The RFU has, for some time, encouraged Clubs to Incorporate. They state:
“Would you bet your house on the chance that nothing untoward will ever happen to your rugby club? If you are a committee member and your club is an unincorporated club you may be doing just that. Many rugby clubs are set up as unincorporated associations. These unincorporated clubs are not legal entities in their own right and therefore any legal claim made against the club would be brought against the committee members (who would be personally liable if the club had insufficient assets to meet the claim).”
DK took this on board and has therefore gone down the Incorporated route.
At the meeting we saw the winding up of Dudley Kingswinford RFC and the start of Dudley Kingswinford RFC Ltd.
This is not the first time in our history that the club has changed names.
In May 1920 our club was started as Harper Bean RFC. In 1921 with the move to the County Ground in Dudley we became Dudley RFC and with the move to Penzer St in 1926 we became Dudley Kingswinford RFC. (Joined the RFU in 1927)
In fact, we have become 2 companies, Dudley Kingswinford RFC (Holding) Ltd, this company is responsible for running the rugby and it’s members. The second company, DKRFC (Trading) Ltd is responsible for the commercial side of the club.
The document attached below shows the details of each company and the Directors.
Also at the meeting the club announced 6 new life members. Awarding Life membership started in 1947 and since then only 43 members have been awarded this great Honour the last of which was awarded in 2015.
Life membership is awarded to those who have made a significant contribution to DKRFC over a long period of time, this year the following were named as life members and added to the list:
